Confidentiality Agreement

Buyer identified below has requested information about one or more exclusive listings of Collins Realty Group, Inc. or one of its affiliates (“Broker”). The listings are not being marketed publicly because the Seller(s) wish to keep the potential sale confidential, and Buyer’s knowledge of such potential sale is considered Confidential Information, as well as other information, including but not limited to financial statements, resident and employee records, licensing reports. In consideration for Broker providing Confidential Information to Buyer, Buyer agrees to the terms and conditions of this Confidentiality Agreement. Broker may provide Confidential Information to Buyer from time to time, and the terms and conditions of this Agreement shall apply for a period of five (5) years from the date on which any Confidential Information is provided.

Nondisclosure of Confidential Information
Buyer agrees to receive and hold Confidential Information in the strictest confidence and such Confidential Information shall be reviewed only by those specific officers, directors, employees, agents and advisers who have been advised of this Agreement and the confidential and sensitive nature of the Confidential Information. Buyer shall not disclose such Confidential Information to any other person, corporation, entity or organization during the term of this Agreement, or unless ordered to do so by a regulatory agency or court of competent jurisdiction, or unless otherwise required to do so pursuant to law.

No Warranties or Representations
Buyer understands and acknowledges that Broker or Seller(s) do not make any representation or warranty as to the accuracy or completeness of the Confidential Information. Broker has not audited or otherwise verified information provided by Seller(s).

Obligation to Return Confidential Information
Promptly upon receipt of written notice from Broker, Buyer shall return to Broker or destroy all Confidential Information.

Restriction on Competitive Use of Confidential Information
Buyer acknowledges that the Confidential Information disclosed under this Agreement could cause substantial harm to the business of Seller(s). Therefore, Buyer agrees that such Confidential Information is proprietary to Seller(s) and Buyer will not use such Confidential Information in any manner whatsoever to compete, directly or indirectly, with the property described in the Confidential Information.

Remedies
Buyer acknowledges that damages for a breach of this Agreement may not be readily measurable and could be difficult to determine with any reasonable degree of certainty. Accordingly, should Buyer breach the restrictions on disclosure or use of Confidential Information set forth in this Agreement then Buyer acknowledges and agrees that Seller(s) shall be entitled to actual damages, injunctive relieve and all attorney fees.
