Buyer identified below has requested information about a property that is a listing of Senior Care Realty, LLC (“Broker”) or one of its cooperating agents. In consideration for Broker’s delivery of an Offering Memorandum and/or other information that may be provided by Broker (the “Confidential Information”), Buyer agrees to the terms and conditions of this Confidentiality Agreement. The term of this Agreement shall be one year from the last date on which any Confidential Information is provided.
Nondisclosure of Confidential Information and Non-Circumvention. Buyer agrees to hold Confidential Information in the strictest confidence and to allow the Confidential Information to be viewed only by those officers, directors, employees, agents, lenders and advisers who have been advised of this Agreement and the confidential and sensitive nature of the Confidential Information. Buyer shall not disclose the Confidential Information to any other person, corporation, entity or organization during the term of this Agreement, unless ordered to do so by a regulatory agency or court of competent jurisdiction. Buyer shall return the Confidential Information promptly upon written notice from Broker. Buyer SHALL NOT CONTACT the seller, seller’s employees or customers. Buyer SHALL NOT VISIT the property without the consent of Broker. Buyer shall not circumvent the Broker or other parties to the transaction or make an offer directly to the Seller.
No Warranties or Representations. Buyer understands and acknowledges that Broker and Seller do not make any representation or warranty as to the accuracy or completeness of the Confidential Information. Broker has not audited or otherwise verified information provided by Seller.
Restriction on Competitive Use of Confidential Information. Buyer acknowledges that the Confidential Information disclosed under this Agreement could cause substantial harm to the business of Seller. Therefore, Buyer agrees that the Confidential Information is proprietary to Seller and that Buyer will not use Confidential Information in any manner whatsoever to compete, directly or indirectly, with the property.
